Independent Sponsor¶
Definition¶
An independent sponsor (sometimes called a fundless sponsor) is a deal professional or small team that sources and manages acquisitions without a committed fund. Instead, they raise capital on a deal-by-deal basis from limited partners or co-investors for each specific transaction.
Context¶
Independent sponsors are mentioned in Ep. 23 as part of the "capital abundance" dynamic in the lower middle market. Chris Reilly notes that with thousands of managers in the market, it can be difficult for boutique bankers and business owners to distinguish committed PE funds from less capitalized independent sponsors raising deal-by-deal.
